These Terms of Service (“Terms”) govern access to and use of LeaseCove’s website, application, and related services (the “Services”). The Services are provided by Metacadence, LLC, a Georgia limited liability company doing business as LeaseCove (“LeaseCove,” “we,” “us,” or “our”). By creating an account, starting a trial, purchasing a subscription, or using the Services, you agree to these Terms for yourself or the organization you represent.
The Services
LeaseCove helps commercial property teams organize operational information, including lease, tenant, CAM, reporting, and maintenance workflows. The Services are not legal, tax, accounting, financial, insurance, property-management, tenant-screening, or fair-housing advice. You are responsible for reviewing information and making your own operational decisions.
Accounts and authorized users
You must provide accurate account information, keep credentials confidential, and promptly notify us of suspected unauthorized access at [email protected]. Account owners are responsible for invited users, assigned permissions, and activity occurring under their organization’s account.
Trials, subscriptions, and payment
LeaseCove offers a 30-day free trial unless stated otherwise at signup. Paid subscriptions renew automatically each month until cancelled. You may cancel at any time; cancelled subscriptions remain active through the end of the current monthly term. Payments are non-refundable except where required by law. You are responsible for applicable taxes other than taxes based on LeaseCove’s net income.
Customer Data
As between you and LeaseCove, you retain your rights in Customer Data. You grant LeaseCove a limited right to host, process, transmit, and display Customer Data only to provide, secure, support, and improve the Services and as otherwise permitted by these Terms. You represent that you have the rights, permissions, and lawful basis necessary to provide Customer Data to us.
MCP and API access
LeaseCove may offer API and Model Context Protocol (“MCP”) access. A customer is responsible for each MCP connection, including authorizing users, protecting credentials, selecting the connected LLM tool, setting permissions, and reviewing outputs. Customer authorizes LeaseCove to provide requested Customer Data to an authenticated MCP connection initiated under Customer’s control.
AI-generated output may be incomplete or inaccurate and must not be used as the sole basis for tenant screening, fair-housing, legal, accounting, or other professional or regulated decisions.
Acceptable use and suspension
You must comply with our Acceptable Use Policy and applicable law. We may suspend or restrict access when reasonably necessary to protect the Services, users, or third parties; address a security risk; comply with law; stop misuse; or collect overdue amounts after reasonable notice.
Confidentiality
Each party will use reasonable care to protect the other party’s non-public confidential information and will use it only to perform under these Terms. Confidential information does not include information that is public through no breach, independently developed, rightfully received from another source, or required to be disclosed by law.
Termination and Customer Data
Either party may terminate for material breach if the breach is not cured within 30 days after written notice. Upon termination, access ends and Customer Data is handled as described in our Privacy Notice.
Disclaimers and limitation of liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” EXCEPT AS EXPRESSLY STATED IN A WRITTEN AGREEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASECOVE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASECOVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.
Governing law and changes
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Fulton County, Georgia, unless we agree otherwise in writing. We may update these Terms from time to time. Material changes will apply at renewal or after notice as required by law.
